Per the Novel, Phil is forced to resign for leaking the story to the Media. I have only read the novel, not seen the film, so I am not sure if the media is involved in the film.

Phil was Garvin's right-hand man, the company's chief legal counsel. In the book, Phil Blackburn not only gets dumped, he is told by Garvin to hop on the quickest flight & get out of town, because being the legal counsel he would be subject to the press, legal inquiries, etc. Phil was responsible for making sure that the whole sexual harrassment & incompetence scenarios involving Sanders were executed, but handled "quickly & quietly" so it would not affect the merger. However, in the book, it would appear Phil leaked details of the harrassment case to Constance Walsh, a reporter from the Seattle newspaper, who had the story about the sexual harrassment case at Digicom "biased against" Sanders released, first in a damaging vague editorial opinion column, then leaked to the local TV station, against the wishes of her editor. This, combined with the massive press covering the in-house merger announcement/arcamax presentation a.k.a. "incompetence" set-up "gone wrong", was enough coverage to publically bring Digicom into some serious negative light.
Weird part of all this: In the book, 10 years earlier, Phil Blackburn & Tom Sanders were close friends during the period Tom was seeing/dating Meredith. Years later, Phil was even Tom's "best man" at his wedding/marriage to his wife Susan.
The book's last page ends with "what happened to" postscripts for each character. Phil Blackburn ends up with a more lucrative position as Chief Counsel w/ a company twice as large as Digicom, as well as higher recognition in the legal industry, as Chairman of the Ethics Panel of the San Francisco Bar Association.
